Acceptance of Terms

By engaging 1 Way Media Solutions for any project or service, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not proceed with our services. These terms apply to all work performed by 1 Way Media Solutions on your behalf.

Services Description

1 Way Media Solutions provides professional media production and creative services, including but not limited to video production, photography, web design and development, brand identity design, and social media management. The specific scope, deliverables, and timeline for each project will be outlined in a separate project proposal or statement of work agreed upon by both parties.

Client Responsibilities

To ensure timely and successful project delivery, clients are expected to provide all necessary assets, content, brand guidelines, and access credentials within agreed-upon timelines. Feedback and approvals should be returned promptly -- delays in client response may affect project schedules and final delivery dates. Final approval of deliverables constitutes acceptance of the work.

Payment Terms

A deposit of 50% of the total project fee is required before work begins. The remaining balance is due upon delivery of final deliverables. All invoices are payable within 15 days (Net 15) of the invoice date. Late payments are subject to a 1.5% monthly interest charge on the outstanding balance. We accept payment via bank transfer, credit card, and major digital payment platforms.

Intellectual Property

Upon receipt of full payment, the client receives a perpetual, non-exclusive license to use all final deliverables for their intended business purposes. 1 Way Media Solutions retains the right to display completed work in our portfolio, website, social media, and promotional materials unless otherwise agreed in writing. Raw files, source files, and working documents remain the property of 1 Way Media Solutions unless explicitly included in the project scope.

Limitation of Liability

The total liability of 1 Way Media Solutions for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific project in question. We are not liable for any indirect, incidental, or consequential damages, including but not limited to lost revenue, lost profits, or business interruption, arising from the use or inability to use our deliverables.

Cancellation Policy

Either party may cancel a project with 30 days' written notice. In the event of cancellation, the initial deposit is non-refundable. If work has progressed beyond the scope covered by the deposit, the client will be invoiced for all completed work at our standard rates. Any materials or partial deliverables completed up to the cancellation date will be provided to the client upon settlement of all outstanding balances.

Confidentiality

Both parties agree to keep all project-related information, business strategies, creative concepts, and proprietary materials confidential. Neither party shall disclose confidential information to third parties without prior written consent, except as required by law. This obligation survives the completion or termination of any project.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Kentucky. Any disputes arising from these terms or our services shall be resolved in the courts of the Commonwealth of Kentucky.
